Terms and Conditions

1. Services

Hemeron provides:

• Custom software development: internal systems, automations, integrations, applied intelligence, and platforms.
• Business messaging platform: registration and connection of WhatsApp Business accounts, sending and receiving messages, template management, webhooks, and API integration, acting as a WhatsApp Business Platform tech provider.

2. Client account

To use the messaging platform you must provide truthful and complete business information, safeguard your credentials and API keys, and remain responsible for all activity under your account, including activity by your users.

3. Acceptable use

You agree not to use the services to:

• Send unsolicited messages, chains, or advertising without the recipient's consent.
• Distribute illegal, deceptive, defamatory, or discriminatory content, or content that infringes third-party rights.
• Violate applicable Meta and WhatsApp terms and policies, including the WhatsApp Business Terms of Service and business messaging policies.
• Interfere with the security or availability of the services or attempt to access other clients' data.

4. Your compliance

As the party responsible for your communications, you must hold the legal bases and consents required from your own contacts to message them, honor their opt-out requests, and comply with the regulations applicable to your activity. You must also maintain your own privacy policy governing your end users' data.

5. Personal data

The processing of personal data is described in Hemeron's Privacy Policy. When we process Platform Data on your behalf, we do so in accordance with Meta's terms and policies and under your instructions; you retain control of such data as its controller.

6. Intellectual property

Hemeron retains ownership of its brand, platform, tools, and general know-how used to build them. Custom development work is governed by each executed services agreement, which prevails over these terms in case of conflict.

7. Availability, support, and third-party services

We aim for continuous and secure operation, but we do not warrant uninterrupted or error-free service. Messaging depends on third parties such as Meta: changes, outages, or decisions by those providers may affect availability or functionality, and we are not liable for them to the extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Hemeron is not liable for indirect, incidental, special, or consequential damages, nor for lost profits arising from use of or inability to use the services. Our aggregate liability for any claim is limited to the amounts actually paid by the client to Hemeron for the service during the three months preceding the event giving rise to the claim.

9. Termination

Either party may terminate the contractual relationship as agreed between them. We may suspend or restrict the service immediately if we detect use that violates these terms, Meta's terms, or endangers the security or legality of the platform. Upon termination, the client must stop using the services and Hemeron will handle data according to its Privacy Policy and applicable statutory retention periods.

10. Changes to these terms

We may update these terms by publishing the current version on this page with a new date. Material changes affecting contracted services will be communicated through the registered contact channels.

11. Governing law and jurisdiction

These terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the competent courts of the city of Aguascalientes, Aguascalientes, Mexico, waiving any other jurisdiction to which they might be entitled.
